Register New Group Account

When you purchase a group of seats, note that you will automatically receive one of them as account owner. This permits you to be able to log in and manage seat assignments for the rest of the account.

The Center for the Advancement of Social Entrepreneurship at Duke’s Fuqua School of Business (“CASE”) offers CASE Smart Impact Capital ™ (“the Program”) as a set of resources designed to educate the licensee to be more efficient and effective in raising impact capital for a social venture.

The quick non-binding version of this agreement:

  • You are agreeing to purchase a non-transferable, nonexclusive bulk license, which includes the ability to assign access to the Program to sub-users that you designate for a set period of time. You can extend this time in 6 month increments, or add users at any time. Your own license will be one of the set.
  • Neither you nor the sub-users you designate will have the right to modify, copy, share, or sublicense the materials in the Program.
  • You may not tell the sub-users they have completed a degree by Duke. Use of the Duke name must be by prior written permission.
  • Duke shall exert reasonable effort to have the Program available at all times.
  • Duke has the right to terminate access for you and your sub-users if there is a breach of terms.

By checking the agreement box below, licensee agrees:

  • Nonexclusive License without Title or Ownership for Licensee or its Sub-users. Licensee shall have no rights in the Program except those expressly granted by this Agreement. Licensee accepts a nonexclusive license to access the Program during the term of this license through CASE and to make the Program available to Licensee's sub-users for educational purposes in connection with Licensee’s programming. Neither Licensee, nor its sub-users, receives rights to the Program other than those specifically granted in this agreement. Title to and ownership of the Program and all copyrights therein, shall remain with Duke, and this Agreement shall not be taken in any way to restrict Duke's ability to use, copy, modify, or license the Program to third parties. This Agreement may not be assigned by Licensee to any other person, firm, or corporation without the express written prior approval of Duke. The Program is not intended as a substitute for advice and guidance from accountants, lawyers, and other stakeholders.
  • No Right to Modify or Copy. Licensee is granted the right to access the Program through Duke’s CASE Smart Impact CapitalTM website only and is not given any right to modify, create derivative works from, distribute, publicly display, publicly perform, or sublicense the Program. Licensee is not given any rights to Duke’s website or the Duke networks on which it resides, except for purposes of accessing the Program.
  • Warranty. The Program is provided "as is", without any warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose. Duke shall have no obligation, express or implied, to supervise, monitor, review or otherwise assume responsibility for Licensee's program or for decisions made by Licensee. The Licensee shall indemnify and hold harmless Duke, its trustees, officers, employees, and agents from any liability arising out of Licensee's use of the Program; provided, however, that Licensee shall not be responsible for negligence or willful misconduct on the part of Duke.
  • Availability. Duke shall exert reasonable effort to have the Program available at all times. Licensee acknowledges that from time to time the Program may be inaccessible or inoperable for various reasons, including, but not limited to, equipment malfunctions, periodic maintenance or repair procedures, and/or causes beyond the control of Duke, such as interruption or failure of telecommunications transmission lines, hostile network attacks, network congestion or other failures.
  • Non-Credentialing Program. Licensee acknowledges that the Program, at this time, proffers no credential to the Licensee. Licensee shall not represent participation in the Program as an official credential or degree from Duke University, Fuqua School of Business, Center for the Advancement of Social Entrepreneurship, or any other schools/programs within Duke.
  • Use of Name. Neither party will, without the prior written consent of the other party, use in advertising, publicity, or otherwise, the name, trademark, logo, symbol, or other image of the other party or the other party’s employee or agent.
  • Termination. Duke may terminate this Agreement if Licensee breaches any of the terms of this Agreement, and such breach is not cured within thirty (30) days after Duke provides written notice of the breach to Licensee. Duke shall have the right to terminate this Agreement immediately upon written notice to Licensee if Licensee attempts to modify, copy the Program, or to modify or disrupt Duke's website or the Duke networks with which it is associated. Upon the termination of this Agreement, Licensee hereby agrees to immediately cease use of the Program and agrees that Duke may terminate Licensee's ability to access the Program.
  • Entire Agreement. The parties have read this Agreement and agree to be bound by its terms, and further agree that it constitutes the entire and exclusive agreement of the parties and supersedes all previous communications, representations, or agreements, either oral or written, between them. No additional rights are provided to Licensee under any patent applications, trade secrets, copyrights, or other proprietary rights of Duke. Any modification or addition to any provision of this Agreement must be agreed to in writing by a duly authorized representative of each party. This Agreement shall be covered by the Laws of the State of North Carolina.
